Terms of Service

What we agree to do, what you agree to do, what it costs, and what happens if either of us wants out.
1. Who this agreement is between
This agreement is between Novatide Consulting (“we”, “us”, “Novatide”), of D6, Hub Town, Makarpura Bus Depot, Makarpura, Vadodara, Gujarat 390010, India — the company that builds and runs BookTide — and the business that subscribes to BookTide (“you”, “your business”): the clinic, salon, coaching class or other business named on the invoice.
It starts when you subscribe, or when we switch your assistant on, whichever comes first.
Your patients and customers are not parties to this agreement. They are messaging your WhatsApp number, dealing with your business. Nothing here creates a contract between Novatide and them, and nothing here gives them a claim against us or takes one away from them against you.
Whoever signs up on your behalf must have authority to commit the business. If you sign up for someone else’s clinic without their say-so, that is on you, not on us.
2. What BookTide does
BookTide is an AI booking assistant that runs on your own WhatsApp number, using the official WhatsApp Business Platform (the Meta Cloud API). Your patients and customers message the number they already have for you. There is no app for them to install and nothing new for your staff to learn.
Once it is live, the assistant:
- Takes an appointment booking in about 40 seconds, in English, Hindi or Gujarati — by tapping buttons or by typing naturally.
- Sends automatic reminders before the visit, to cut no-shows.
- Delivers the prescription your clinician issues, as a PDF, to that patient’s own WhatsApp number after the visit.
- Invites patients back for follow-ups.
- Checks in when a medicine course is due to end.
- Answers common questions 24x7 — fees, timings, address — as an AI receptionist, from the information you give us.
- Gives you a live bookings dashboard.
That is the whole service. Anything we describe on our website as coming soon — currently payments via UPI, and the events vertical — is not part of what you are buying today, is not promised by a date, and you should not subscribe on the strength of it.
“About 40 seconds” is what a straightforward booking takes in practice. It is a description, not a performance guarantee.
3. What BookTide never does
This section matters more than any other on this page, so it is blunt.
BookTide performs booking and logistics only. It never provides medical advice, diagnosis, triage or any clinical opinion. It will not tell anyone what is wrong with them, what to take, whether to come in urgently, or whether a symptom is serious. If a conversation heads that way, the assistant’s job is to book an appointment or point the person to your staff — nothing else. It is not a medical device, not a diagnostic tool, and not a triage system, and it must not be presented to your patients as any of those.
Accordingly:
- You remain solely responsible for every clinical decision made in your practice.
- You are responsible for the content and correctness of every prescription you issue. BookTide generates the PDF from what you enter and delivers it. We do not read it, check it, interpret it or advise on it.
- You remain responsible for your own professional obligations — your registration, your medical council’s code of conduct, your record-keeping duties, telemedicine rules where they apply, and advertising restrictions on your profession. We are a software supplier; we are not your compliance department.
- Nothing the assistant says to a patient is a substitute for seeing a clinician, and nothing in a reminder or follow-up message should be worded to suggest otherwise.
If you configure the assistant with content that gives clinical advice, you are doing that against these terms, and the responsibility is yours.
4. Your responsibilities
Your WhatsApp number and account
The WhatsApp Business account and the phone number stay yours. You own them, you control them, and you keep control of them if you leave us. You are responsible for keeping the account in good standing, for its Meta business verification, and for the quality rating Meta assigns to it.
Consent to message people
You must have your patients’ and customers’ consent to message them, and you must honour it when someone withdraws it. Reminders, follow-ups and medicine-course check-ins go out because you turned them on. Do not upload numbers you were not given permission to contact. Do not use BookTide for bulk marketing to people who did not ask for it.
Lawful content, accurate information
The fees, timings, address, staff names and answers you give us are yours; keep them accurate and keep them lawful. Do not use the assistant for anything illegal, misleading, defamatory, or for a business you are not entitled to run.
WhatsApp Business Platform policies
Your use of your number is subject to Meta’s WhatsApp Business Platform terms, its messaging and commerce policies, and its template approval rules. Those are between you and Meta. You must comply with them. We will tell you what we know about them and help you stay inside them, but we cannot waive them, appeal them for you, or protect you from a suspension caused by breaking them.
Your staff
Anyone you give dashboard access to is your responsibility. Keep logins to individuals, and tell us when someone leaves so we can remove their access.
5. Setup and going live
We do the setup for you: connecting your number to the WhatsApp Business Platform, building your assistant around your timings, fees, services and staff, loading your common questions, testing it end to end, and walking you through the dashboard. You do not have to configure anything technical yourself.
“Live in about one week” is an estimate, not a guarantee. It is what a well-prepared clinic usually takes. The single biggest variable is Meta’s business verification of your WhatsApp Business account, which is entirely Meta’s process on Meta’s timetable — we cannot speed it up, escalate it or promise its outcome. The other variable is you: we need your timings, fees and staff list before we can build anything.
If verification drags on or is refused for reasons outside our control, we will keep working the problem with you, and you can cancel without penalty and be refunded for any month you have paid for and not used.
6. What it costs
These are the prices on our pricing page, repeated here so the agreement is self-contained. All of them are per month, and exclude 18% GST.
Founding Pilot
- Setup free — normally ₹15,000.
- ₹1,999 per month for the first three months.
- Limited to the first 10 businesses. When those ten places are taken, the offer closes. We will tell you at sign-up whether a place is still available; if the tenth is taken while we are talking, we will say so rather than quietly move you onto it.
- In return we ask to use your experience as a case study — with your written approval of anything we publish, and never patient data.
- After the three months, your subscription continues on the Starter or Growth plan you choose, at the price shown on our pricing page at that time. We will tell you in writing at least 14 days before the change takes effect, and you are free to cancel instead.

7. Billing, GST and WhatsApp charges
- Billed monthly, in advance. A month runs from the date your assistant goes live.
- 18% GST is extra on every amount quoted, and appears on your invoice.
- WhatsApp / Meta conversation charges are billed at cost, on your own Meta account. Meta charges for conversations on its own rate card, in your account, direct to you. We do not mark it up, we do not resell it, and we do not control it — if Meta changes its pricing, that flows straight through to you. A reminder message costs roughly ₹0.15 today; treat that as illustrative, not as a quoted rate.
- Any figure we show as illustrative — the return-on-investment arithmetic on our website, for example — is an illustration of how the maths works, not a promise of what your clinic will save.
- If an invoice is unpaid, we will chase it like humans first. See section 12 for what happens if it stays unpaid.
8. Cancellation, and your data afterwards
Month to month. Cancel any time. There is no lock-in, no minimum term and no cancellation fee — including on the Founding Pilot.
To cancel, tell us in writing (email is fine) before your next billing date. Your service runs to the end of the month you have paid for, and then stops. We do not refund part-months already started, and we do not bill you again after that.
We can end the agreement too, with 30 days’ written notice, and we will refund anything you have paid for service you have not received.
What happens to your data
- Your number stays yours. It is your WhatsApp Business account. We disconnect our software from it; nothing about your number goes with us.
- You can export your data — bookings and customer contact details — in a standard file format. Ask any time up to 30 days after cancellation and we will send it, free.
- After that, your account data is deleted within 90 days of the subscription ending, on the schedule set out in our Privacy Policy. Ask us to delete sooner and we will.
- We keep invoices and payment records for as long as Indian tax law requires. That is our own accounting, not your patient data.
9. Uptime, support and things we do not control
We use reasonable efforts to keep BookTide available and working, and we monitor it. We do not offer a guaranteed uptime percentage, a service level agreement or credits for downtime, unless we have signed a separate written SLA with you. Nobody should buy this expecting one — say so up front and we will discuss it properly.
Some things are genuinely outside our control, and we will not pretend otherwise:
- The WhatsApp Business Platform itself. If Meta has an outage, changes its API, changes its pricing or policies, rejects a message template, downgrades your number’s quality rating or suspends your account, BookTide is affected and we cannot fix it at source. We will tell you what is happening and work around it where we can.
- Your internet, your devices, your phone number’s standing with Meta.
- Third-party infrastructure outages, and events beyond reasonable control — power failure, network failure, natural disaster, government action.
Support is by WhatsApp and email during Indian business hours. A human answers, usually the same day. We aim to acknowledge anything that stops bookings within a few working hours.
10. Who owns what
We own the software. BookTide — the code, the assistant’s design, the dashboard, the name and the branding — is and stays Novatide’s intellectual property. You get a non-exclusive, non-transferable right to use it for your own business for as long as you are a subscriber. You may not copy it, resell it, sublicence it, reverse-engineer it, or use it to build a competing product.
You own your data and your content. Your bookings, your customer details, your clinic information, your prescriptions and your logo remain yours. We claim no ownership over any of it. We use it only to run the service for you, as set out in the Privacy Policy.
If you send us an idea or a bug report and we improve the product with it, we can use that improvement without owing you anything — but the improvement is a change to our software, and it never gives us a claim on your data.
We will not use your business name, logo or story publicly without your written approval. On the Founding Pilot we will ask for exactly that, and you can say no.
11. Data protection and confidentiality
Under India’s Digital Personal Data Protection Act, 2023, your business is the Data Fiduciary for your patients’ and customers’ data and Novatide is your Data Processor. We process that data only on your instructions and only for the purposes in the Privacy Policy, which forms part of this agreement.
Getting and honouring your customers’ consent is your responsibility. Keeping the data safe on our side, telling you promptly if something goes wrong, and deleting it when you say so, is ours.
Each of us will keep the other’s confidential information confidential — your patient data, your pricing and your commercial details on our side; our software, our roadmap and our pricing arrangements on yours. This survives the end of the agreement.
12. When we can suspend an account
We would much rather call you. But we can suspend the service if:
- An invoice is more than 15 days overdue and you have not answered our reminders. We will give you at least 7 days’ written warning before we switch anything off.
- The account is being used unlawfully, or in a way that breaks WhatsApp Business Platform policy and puts your number or our platform at risk.
- There is a live security problem that suspension is the only sensible answer to.
Suspension is not termination. Clear the cause and we switch it back on. If a suspension for non-payment runs past 30 days, we may end the agreement and delete the account under section 8.
13. Limitation of liability
In plain terms, because this clause is usually where the fog comes down:
- If we are liable to you for anything, our total liability is capped at the fees you actually paid us in the three months before the claim arose. On the Founding Pilot that is a small number, and you should size your expectations to it.
- We are not liable for indirect or consequential losses: lost profits, lost revenue, lost patients, lost goodwill, lost data where you had an export available, or business interruption.
- We are not liable for anything caused by Meta or the WhatsApp Business Platform, by your own configuration, by information you gave us that was wrong, by your staff, or by a clinical decision made in your practice.
- Nothing here limits liability that cannot lawfully be limited under Indian law — including for fraud, or for death or personal injury caused by negligence. We are not trying to sign away the things nobody may sign away.
You agree to indemnify us against claims brought by your patients or customers that arise from your clinical care, your prescriptions, your consent practices, or your breach of these terms.
14. Changes to the service and to these terms
We improve BookTide continuously, and small changes ship without ceremony. If we remove or materially reduce a feature you rely on, we will give you at least 30 days’ notice by email, and you can cancel without penalty.
If we change these terms, we update the Last updated date and post the new version here. For a material change — pricing, liability, cancellation, anything that affects what you are buying — we will email you at least 30 days before it takes effect, and say in one paragraph what changed. Carrying on after that date means you accept the new terms; cancelling before it means you do not, and you leave on the old ones.
Prices for an existing subscriber will not go up mid-cycle, and never with less than 30 days’ notice.
15. Governing law and disputes
This agreement is governed by the laws of India. The courts at Vadodara, Gujarat have exclusive jurisdiction over any dispute arising from it.
Before either of us goes anywhere near a court: email sales@novatideconsulting.com with “Dispute” in the subject line and set out the problem. We will reply within 7 working days and try to sort it out in a conversation within 30 days. Almost everything is a misunderstanding that a phone call fixes.
If a clause here turns out to be unenforceable, the rest still stands. Not enforcing something once does not mean we have given up the right to enforce it later. These terms plus the Privacy Policy plus your invoice are the whole agreement between us, and replace anything said in a sales conversation beforehand.
